Government. Legislation from the Corporate Transparency Act (CTA) – details that most all
incorporated entities must file with the government a beneficial ownership information report
BOIR. The following link is provided for those who wish to read more about the requirements.
https://www.fincen.gov/boi The initial filing needs to be done by Jan 1, 2025, and only needs to
be updated whenever a change in the BOI occurs. Changes must be filed within 30 days of the
identified change or stiff penalties of $500/day and/or up to 2 years imprisonment can be
imposed for non-compliance. The main purpose of the legislation is to cut down on money
laundering etc… It is not likely the intention was to affect clubs such as ours; however, since we
chose to incorporate several years ago we fall under the conditions requiring compliance. The
reports are not complicated and are done online. Harry will file the initial report, but he needs to
have an electronic photo of each officer’s and director’s valid government issued photo ID e.g.
Driver’s License, Passport etc…As a minimum, he needs to file by Jan 1 so that would still be
the current officers and directors excepting Robb who will drop as of the end of this year… thus
Rudy, Harry, Keith, John, and Mike will be the first to be included in the initial filing and then
depending on the outcome of the elections in December will dictate what other changes willneed to be made in Jan 2025. Additionally, this requirement may need to be something we add
to the By Laws… so that it be done in perpetuity or until the law affecting our compliance
changes.
